Nature of Our Relationship
John P. Sao Miguel acts as an Exempt Market Dealing Representative. In this capacity, he may facilitate the purchase of exempt market securities on your behalf, provide information about specific investment opportunities, and assess the suitability of those investments for your circumstances.
An Exempt Market Dealing Representative is not a portfolio manager and does not provide ongoing discretionary investment management. Each investment opportunity is considered on a transactional basis, subject to a suitability assessment.
How We Are Compensated
Corvax Financial and John P. Sao Miguel may receive compensation in connection with exempt market transactions, which may include:
- Dealing commissions: A fee paid by the issuer of securities, calculated as a percentage of the amount invested. This fee is disclosed in the offering memorandum for each investment
- Trailer fees or ongoing commissions: In some cases, ongoing fees may be payable by the issuer for as long as you hold the investment. These will be disclosed where applicable
- Co-investment returns: Where John P. Sao Miguel invests his own capital alongside clients, he participates in any returns and losses on the same terms
All compensation arrangements will be disclosed to you in writing prior to any investment decision.
Conflicts of Interest
We are committed to identifying, disclosing, and managing conflicts of interest in the best interest of our clients. The following potential conflicts of interest exist or may arise:
- Issuer compensation: Because dealing commissions are paid by issuers, we have a financial incentive to recommend investments. We manage this conflict by limiting the offerings we present to those we have independently assessed as suitable and by disclosing all compensation
- Co-investment: Where we invest our own capital in the same investments we recommend to clients, our interests are aligned with yours. However, the size of our co-investment may differ from yours, which could affect incentives in certain scenarios
- Relationship with issuers: We may have pre-existing or ongoing business relationships with certain issuers whose products we present. Any such relationship will be disclosed to you before you invest

Know Your Client and Suitability
Before recommending any exempt market investment, we are required to collect sufficient information about your financial situation, investment objectives, risk tolerance, and investment knowledge to assess whether the investment is suitable for you. This process is required under Alberta securities legislation and is conducted for your protection.
You are responsible for providing accurate and complete information. If your circumstances change materially, please inform us so that we can update your profile and reassess the suitability of your existing and future investments.
Complaint Handling
If you have a complaint about our services, please contact us in the first instance at info@corvaxfinancial.com. We will acknowledge your complaint within five business days and respond substantively within thirty days.
